References

1. Art. 429c of the Code of Civil Procedure has been amended as from 1 January 1993.

2. Under Dutch company law a company is either a public company (Naamloze Vennootschap (n.v.)), sometimes referred to as a limited company, or a private company (Besloten Vennootschap (b.v.)) and the main difference between the two is that the articles of association of a b.v. have to contain a blocking clause which implies that in a b.v. with more shareholders the shares cannot be freely transferred.
